1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the WeCryptAI mobile application ("App"), operated by MID Equities LLC (“MID Equities,” “WeCryptAI,” “we,” “our,” or “us”). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms within the App. Your continued use of the App after such changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years of age to use WeCryptAI. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the App with the consent of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use WeCryptAI, you must create an account by providing a valid phone number and completing OTP (one-time password) verification. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account and device
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You may create only one account per phone number. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of Services

WeCryptAI provides the following services:

4.1 Messaging

The App enables private and public messaging between users. Private chats are protected by end-to-end encryption (E2EE), meaning only the intended recipients can read messages. Public chats are visible to all participants and are not end-to-end encrypted.

4.2 On-Device AI

WeCryptAI includes AI language models that run entirely on your device. These models generate responses locally without sending your conversation data to external servers. AI model files are downloaded to your device and require sufficient storage space and device capabilities.

4.3 Premium AI Services

The App optionally connects to third-party cloud-based AI services (including OpenAI, Anthropic, and Google). When you enable premium AI features, conversation context is transmitted to these third-party providers for processing. You acknowledge that data sent to premium AI providers is subject to their respective terms of service and privacy policies.

4.4 Public Chat Features

The App provides public chat rooms where users can share content, images, and interact with AI participants. Content posted in public chats is visible to all participants and should not include sensitive personal information.

5. Acceptable Use

You agree to use WeCryptAI only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App for any illegal, harmful, or fraudulent activity
• Transmit spam, malware, viruses, or any harmful code through the App
• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Share content that is unlawful, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to other users' accounts, messages, or encryption keys
• Reverse engineer, decompile, or disassemble any portion of the App
• Use automated systems, bots, or scripts to access the App in a manner that exceeds reasonable use, unless through our official Agent/Bot API
• Circumvent or attempt to circumvent any security features of the App
• Use the App to distribute illegal content, including but not limited to child exploitation material

6. User Content

6.1 Ownership

You retain ownership of all content you create and share through WeCryptAI, including messages, images, and public posts. By posting content in public chats, you grant WeCryptAI a non-exclusive, royalty-free license to display that content within the App to other users.

6.2 Responsibility

You are solely responsible for all content you transmit through the App. WeCryptAI does not pre-screen, monitor, or endorse user content. Due to end-to-end encryption, we are unable to access or review the content of private messages.

6.3 AI-Generated Content

Responses generated by AI features (both on-device and premium cloud-based) are provided for informational and entertainment purposes only. AI-generated content may be inaccurate, incomplete, or inappropriate. You acknowledge that WeCryptAI is not responsible for the accuracy, reliability, or suitability of AI-generated content. You should not rely on AI-generated content for medical, legal, financial, or other professional advice.

7. Agents and Bots

WeCryptAI allows users to create agents (bots) that can participate in conversations via webhook tokens. If you create an agent, you agree to:

• Ensure your agent complies with these Terms and all applicable laws
• Take responsibility for all content posted by your agent
• Maintain the security of your agent's webhook tokens
• Not use agents to spam, harass, or disrupt other users

We reserve the right to disable or remove any agent that violates these Terms without prior notice.

8. Privacy

Your use of WeCryptAI is also governed by our Privacy Policy. The Privacy Policy describes how we collect, use, and protect your personal information. By using the App, you consent to the data practices described in the Privacy Policy.

9. Intellectual Property

WeCryptAI and its original content (excluding user-generated content), features, and functionality are owned by WeCryptAI and are protected by copyright, trademark, and other intellectual property laws. Our trademarks, trade names, and trade dress may not be used in connection with any product or service without our prior written consent.

The AI models used within the App are subject to their respective licenses (including Meta's Llama Community License for on-device models). Third-party AI provider names and trademarks (OpenAI, ChatGPT, Anthropic, Claude, Google, Gemini) are the property of their respective owners. WeCryptAI is not affiliated with or endorsed by any third-party AI provider.

10. Copyright and DMCA Policy

10.1 Respect for Copyright

WeCryptAI respects the intellectual property rights of others and expects its users to do the same. It is our policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA) and other applicable intellectual property laws.

10.2 DMCA Takedown Notices

If you believe that content available through WeCryptAI infringes your copyright, you may submit a DMCA takedown notice to our designated agent. Your notice must include:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material within the App
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

10.4 Counter-Notification

If you believe that content you posted was removed or disabled as a result of a mistake or misidentification, you may submit a counter-notification to our DMCA Agent. Your counter-notification must include:

• Your physical or electronic signature
• Identification of the material that has been removed or disabled and the location at which the material appeared before it was removed or disabled
• A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
• Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal court in your district and that you will accept service of process from the person who provided the original DMCA notification

10.5 Repeat Infringer Policy

WeCryptAI maintains a policy of terminating the accounts of users who are determined to be repeat infringers of copyright. We will, in appropriate circumstances, disable and/or terminate accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.

11. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WECRYPTAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT
• WARRANTIES REGARDING THE PERFORMANCE OF ON-DEVICE AI MODELS ON YOUR SPECIFIC DEVICE

You acknowledge that AI features may produce inaccurate, biased, or inappropriate results, and you use these features at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WECRYPTAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or goodwill
• Service interruption or loss of access
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the App
• Actions or content generated by AI features
• Any other matter relating to the App

Our total liability to you for all claims arising from or related to the use of the App shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50.00), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless WeCryptAI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your violation of these Terms, your violation of any rights of another party, or any content you submit through the App.

14. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease. You may terminate your account at any time by requesting account deletion through the App or by contacting us at contact@wecryptai.com.

Upon termination, we will make reasonable efforts to delete your personal data from our servers, subject to any legal obligations to retain certain information. Locally stored data on your device will remain until you uninstall the App or clear its data.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against WeCryptAI.

16. Force Majeure

WeCryptAI shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemic, internet service failures, power outages, or actions of governmental authorities.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WeCryptAI regarding the use of the App and supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.
